These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and Action Units Technologies LLC ("Action Units," "Company," "we," "us," or "our") governing your access to and use of the website located at app.actionunits.com, all related subdomains, mobile applications, APIs, email communications, SMS communications, and all services provided through the platform (collectively, the "Platform").

By accessing or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree with these Terms, you must immediately discontinue all use of the Platform.

The Platform provides sports analytics tools, betting performance tracking, a creator marketplace for sports analysis content ("cappers"), educational materials, and related informational services.

Action Units does not operate as a sportsbook, bookmaker, casino, or gambling operator.

Action Units does not accept, process, facilitate, or manage wagers or gambling transactions of any kind.

Any picks, predictions, analysis, insights, or recommendations provided through the Platform are for informational and entertainment purposes only and do not constitute financial advice, investment advice, or guaranteed outcomes.

All betting activity referenced on the Platform occurs through third-party sportsbooks and platforms that are independent from Action Units.

3. Assumption of Risk

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE PLATFORM AND ANY RELIANCE ON INFORMATION, PICKS, PREDICTIONS, ANALYTICS, OR CONTENT AVAILABLE THROUGH THE PLATFORM IS ENTIRELY AT YOUR OWN RISK.

Sports wagering involves significant financial risk and may result in the loss of some or all funds wagered.

You may access the Platform using email and password authentication or phone-based authentication, including one-time SMS verification codes or SMS magic links.

If you use phone-based login, you are responsible for maintaining control over the phone number associated with your account. Loss of access to your phone number may result in loss of access to your account.

You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account.

You agree to immediately notify us of any unauthorized use of your account.

We reserve the right to suspend, disable, restrict, or terminate any account at any time, for any reason, in our sole discretion.

You may not transfer, sell, assign, or share your account with any other person.

5. Communications and SMS Notifications

By creating an account and providing your phone number, you consent to receive transactional SMS messages and notifications from Action Units.

Standard message and data rates may apply according to your mobile carrier.

You may opt out of SMS notifications at any time by replying STOP to any message or by adjusting your notification preferences in your account settings. Note that opting out of SMS may affect your ability to use phone-based login.

The Platform may automatically derive your approximate location (such as country and state/region) from your IP address.

Any attempt to artificially inflate performance metrics, mislead users, falsify records, or manipulate analytics may result in account suspension, removal of content, or permanent termination of access to the Platform.

9. Intellectual Property

All content, software, algorithms, platform design, analytics models, trademarks, logos, user interfaces, and intellectual property associated with the Platform are owned by Action Units or its licensors.

You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for personal use only.

You may not reproduce, distribute, modify, or commercially exploit any part of the Platform without prior written consent.

10. User-Generated Content

Users may submit content including picks, analysis, comments, reviews, and profile information.

By submitting content to the Platform, you grant Action Units a worldwide, perpetual, royalty-free license to use, reproduce, distribute, display, and modify such content in connection with the operation of the Platform.

You represent that you have the rights necessary to grant this license.

11. Capper Marketplace

The Platform facilitates connections between users and independent sports analysts ("cappers").

Cappers are independent content providers and are not employees, partners, or agents of Action Units.

Action Units does not verify, guarantee, or endorse the accuracy or reliability of any capper's predictions or performance statistics.

Any subscriptions or transactions between users and cappers occur at the user's discretion and risk.

Action Units is not responsible for disputes, financial losses, or disagreements between users and cappers.

12. Third-Party Services, Referrals, and Affiliate Links

The Platform may integrate with or contain links to third-party services, including but not limited to:

Your interactions with third parties are governed by their respective terms and privacy policies.

Action Units may receive compensation from affiliate partnerships or referral arrangements with third parties.

The Platform also operates an internal referral and creator affiliate program. If you sign up or subscribe through a creator's referral link, that creator may receive revenue attribution or commission on your subscription. By using a referral link or joining the Platform through an affiliate code, you consent to the tracking and attribution of that relationship for revenue-sharing purposes.

13. Third-Party Data Sources

The Platform may display sports data, odds information, statistics, and analytics obtained from third-party providers including but not limited to sports data APIs and analytics services.

Action Units does not guarantee the accuracy, completeness, or timeliness of third-party data.

We are not responsible for errors, omissions, or inaccuracies in third-party data sources.

14. Subscription and Payment Terms

Certain features of the Platform require paid subscriptions.

All payments are processed through third-party payment processors including Stripe.

By purchasing a subscription, you authorize recurring billing until cancellation.

Fees are generally non-refundable except where required by applicable law.

We reserve the right to modify pricing at any time.

Failure to pay subscription fees may result in suspension or termination of access to paid features.

Action Units encourages responsible gaming.

Sports wagering involves financial risk and should only be undertaken with funds you can afford to lose.

If you believe you may have a gambling problem, we encourage you to seek assistance from professional organizations such as the National Council on Problem Gambling or similar local support resources.

16. Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE."

ACTION UNITS DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee uninterrupted service, error-free operation, or the accuracy of information displayed on the Platform.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACTION UNITS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM:

Any disputes arising from these Terms or the Platform shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules.

You waive the right to a jury trial and participation in class actions.

Arbitration decisions shall be final and binding.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles.

To the extent court proceedings are permitted, the parties agree to the exclusive jurisdiction of the state and federal courts located in Wyoming.

21. Modifications to Terms

We may update these Terms at any time.

Updated Terms become effective upon posting.

Your continued use of the Platform constitutes acceptance of the revised Terms.

22. Termination

We may suspend or terminate your access to the Platform at any time for any reason.

Upon termination, your right to use the Platform ceases immediately.

Certain provisions including liability limitations and arbitration survive termination.

23. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

24. Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between you and Action Units regarding the Platform.
